2. CONTRACT FORMATION
2.1 Signing (including by electronic signature) the Quotation constitutes an offer by you to purchase the Service in accordance with this Agreement. We may accept or reject any Quotation at our discretion. A Quotation is only accepted when we issue written acceptance or counter-sign it, at which point the Agreement comes into existence (Commencement Date).
2.2 Any descriptions or illustrations in our advertising, brochures or other marketing materials are for indicative purposes only and do not form part of this Agreement.
2.3 This Agreement applies to the exclusion of any other terms you seek to impose or incorporate. You waive any right to rely on any term in any document you provide that is inconsistent with this Agreement.
2.4 A Quotation does not constitute an offer by us capable of acceptance by you.
2.5 If there is any conflict between the provisions of this Agreement and a Quotation, the Quotation prevails.
3. SERVICE
3.1 Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable licence, without the right to sublicense (other than to Users), to permit Users to access and use the Subscription Service and Documentation during the Subscription Term for your business purposes, to the extent defined in the Subscription Scope.
3.2 The Subscription Service is provided on a software-as-a-service basis, not as a software purchase. You have no ownership rights in the Subscription Service.
3.3 You must not exceed the Subscription Scope. If your use of the Subscription Service is likely to exceed the Subscription Scope, you must promptly notify us. Any variation to the Subscription Scope must be agreed in accordance with Clause 6.
3.4 The Subscription Service provides the functionality and features described in the Documentation.
3.5 We may modify the Subscription Service to improve functionality, security or performance. We will not remove core functionality without 90 days' notice.
3.6 Both parties will cooperate in the onboarding process and work within agreed timelines. We will conduct quarterly reviews together during the Subscription Term.
3.7 Subject to clause 3.5, we warrant that the Subscription Service will materially conform to the functionality described in the Documentation during the Subscription Term. This warranty does not guarantee uninterrupted or error-free operation. Subscription Service availability is governed by Clause 4 and is not covered by this warranty.
3.8 The warranty in Clause 3.7 does not apply to non-conformities caused by: use contrary to the Documentation or this Agreement, modifications not made by us, Customer Data, Account Data, use of the Subscription Service in combination with third-party software, hardware or services not provided by us, or matters outside our reasonable control.
3.9 Where we are to provide training for Users or Superusers (Training), such Training will be provided either online or in-person. Details of the location, time, date and the number of permitted attendees will be set out in the Quotation or otherwise agreed in writing between us.
3.10 You shall:
reasonably co-operate with us in all matters relating to the Services;
provide us, our agents and subcontractors with timely access to your systems and data (including Customer Data and Account Data) as reasonably required in order to provide the Services; and
provide, in a timely manner, such information as we may reasonably require, and ensure that it is accurate and complete in all material respects.
4. SERVICE LEVELS
4.1 In respect of the Subscription Service, we will provide 99.5% monthly availability, excluding planned maintenance and events outside our reasonable control (Service Availability).
4.2 Planned maintenance occurs no more than once every 3 weeks and will not exceed 4 hours. We will use reasonable efforts to minimise disruption and provide advance notice via our support console.
4.3 We provide support via support.gatherinsights.com during Normal Business Hours. We will respond to support tickets within the following timeframes:
All timeframes are measured in Normal Business Hours. Further details on “recovery” and “resolution” can be found in the Documentation and/or at the Trust Centre.
4.4 If we fail to meet the Service Availability, you may claim a service credit of 10% of that month's Subscription Fee (or, if paid annually, 10% of 1/12th of the annual Subscription Fee) by notifying us within 10 Business Days of month end. Service credits are capped at one month's Subscription Fee (being 1/12th of the annual Subscription Fee if paid annually) in any rolling 12-month period. Service credits will be deducted from the next invoice or, if there is no further invoice, we will issue a credit note. This is your sole remedy for Service Availability failures.
5. USERS AND SUPERUSERS
5.1 You are the contracting entity. You are responsible for payment of all Fees and are liable for all User actions.
5.2 You may designate the following as Users, subject to the Subscription Scope: your employees; your supply chain (including subcontractors and suppliers); consultants you engage; and representatives from your clients or agents.
5.3 You must ensure that all Users comply with this Agreement and the Acceptable Use Policy.
5.4 You must use reasonable endeavours to prevent unauthorised access to the Subscription Service and must notify us promptly if you become aware of any unauthorised access or security breach.
5.5 Superusers are responsible for day-to-day account administration including User management, project setup, configuration and permission settings. We will generally only make changes to your environment on instruction from a Superuser, except where necessary for security, legal compliance or system stability.
5.6 Superusers have full administrative control including: creating and managing all Users, accessing all data, configuring settings, managing billing and exporting data.
5.7 Superuser actions are binding on you as if you took them yourself. You must:
assign Superuser access only to trusted individuals;
require multi-factor authentication on Superuser accounts;
maintain at least two Superusers; and
revoke access promptly when no longer needed.
6. SUBSCRIPTION SCOPE CHANGES
6.1 The Subscription Scope may be changed by mutual agreement documented in a revised Quotation.
6.2 A revised Quotation sets out the updated Subscription Scope, any Fee changes, and may include a revised term duration. It replaces the previous Quotation when agreed in writing by both parties.
6.3 Any Fee changes in a revised Quotation take effect from the start of the next billing period unless the revised Quotation expressly states otherwise.
6.4 Subscription Scope changes do not extend or restart the current Subscription Term unless the revised Quotation expressly states a new term duration.
7. DATA
7.1 You own Customer Data and Account Data, or in each case, have all necessary rights to upload and process it through the Subscription Service.
7.2 You are responsible for Customer Data and Account Data, including its legality, accuracy and quality.
7.3 You grant us a non-exclusive, royalty-free licence during the Subscription Term to use, copy, store and process Customer Data and Account Data solely for the purposes of providing the Subscription Service and complying with our legal obligations.
7.4 We may create anonymised and aggregated data derived from Customer Data (Aggregated Data). Aggregated Data will not identify you or any individual. We own all Aggregated Data and may retain and use it during and after the Subscription Term for the purposes of improving the Subscription Service, developing new features, and conducting industry analysis.
7.5 You acknowledge that the Subscription Service may incorporate machine learning and analytical capabilities that use Aggregated Data to improve functionality for all customers.
7.6 To the extent that any Customer Data and/or Account Data includes personal data, the provisions of Clause 8 shall apply to the processing of such personal data.
7.7 We maintain:
hourly backups retained for 7 days;
daily backups retained for 90 days; and
monthly backups retained for 6 years.
7.8 If Customer Data or Account Data is lost or damaged, we will restore it from the most recent backup. This is your sole remedy for data loss, and our liability for data loss is limited as provided in Clause 12.3.
7.9 The Subscription Service maintains tamper-evident audit logs for all record modifications. Original records and modification history are preserved.
8. DATA PROTECTION
8.1 In using the Subscription Service, you may input the following personal data relating to data subjects: first and last names, email addresses, contact telephone numbers and job titles or functions. For such personal data, you are controller and we are processor. Both parties will comply with all applicable requirements of the Data Protection Legislation. This Clause 8 is in addition to, and does not relieve, remove or replace, a party's obligations or rights under the Data Protection Legislation. We may revise this Clause 8 on not less than 20 Business Days' notice solely to comply with changes to the Data Protection Legislation.
8.2 You will ensure that you have all necessary consents and notices in place to enable lawful transfer of personal data to us for the duration and purposes of this Agreement.
8.3 We will, in relation to any personal data processed in connection with our obligations under this Agreement:
process that personal data only on your documented written instructions unless we are required by law to do so (in which case we will inform you before the processing takes place, unless the law prohibits this);
ensure that we have in place appropriate technical and organisational measures to protect against unauthorised or unlawful processing of personal data and against accidental loss or destruction of, or damage to, personal data. Our current security measures are detailed at the Trust Centre;
not transfer any personal data outside of the United Kingdom and the European Economic Area without your prior written consent (not to be unreasonably withheld or delayed);
assist you, at your cost, in responding to any request from a data subject and in ensuring compliance with your obligations under the Data Protection Legislation with respect to security, breach notifications, impact assessments and consultations with supervisory authorities or regulators;
notify you without undue delay and in any event within 24 hours of becoming aware of a personal data breach;
at your written direction, delete or return personal data and copies thereof to you on termination of this Agreement unless required by law to retain the personal data;
ensure that anyone we authorise to process the personal data is subject to an appropriate commitment of confidentiality; and
maintain complete and accurate records and information to demonstrate compliance with this Clause 8.
8.4 You consent to our appointment of third-party sub-processors of personal data under this Agreement as reflected in our Privacy Policy at the Trust Centre. We confirm that we have entered or will enter into a written agreement with each sub-processor incorporating terms which reflect the requirements of the Data Protection Legislation. We will remain liable to you for any failure of a sub-processor to meet its data protection obligations as set out in this Clause 8.
8.5 You may audit our data protection compliance once per year on 30 days' notice. We may satisfy audit requirements through certifications and reports at the Trust Centre.
8.6 For personal data in Account Data, we are controller and will process it in accordance with our Privacy Policy at the Trust Centre. You warrant you have authority to provide such Personal Data to us.
9. FEES AND PAYMENT
9.1 You pay the Fees in accordance with the payment terms stated in the Quotation, typically net 30 days.
9.2 All Fees exclude VAT, sales taxes and similar charges. We will add UK VAT at the applicable rate where required by law. You are responsible for all taxes, duties and levies arising from this Agreement, except UK VAT (which we will add as stated above) and taxes on our net income.
9.3 If payment of undisputed Fees is more than 28 days overdue, we may (i) suspend the Service without liability until payment has been made in full; and (ii) charge interest on the overdue sum from the due date until payment of the overdue sum. Interest accrues at 2% a year above the Bank of England’s base rate from time to time, but at 4% a year for any period where that base rate is below 0%.
9.4 We may increase Subscription Fees annually at renewal on 60 days' notice. Increases do not exceed the lower of (i) CPI plus 2% or (ii) 5%. If CPI is discontinued, a comparable index applies.
9.5 If a fee increase under Clause 9.4 is unacceptable, you may terminate by notice within 30 days of our increase notice, effective at the end of the Initial Term or Renewal Period (as applicable).
10. TERM AND TERMINATION
10.1 This Agreement runs from the Commencement Date until terminated in accordance with this clause 10. The Subscription Service will be provided from the Subscription Start Date for the Initial Term, then renews automatically for successive Renewal Periods, unless either party gives the other party at least 60 days' written notice of non-renewal prior to the end of the Initial Term or Renewal Period (as applicable).
10.3 Either party may terminate this Agreement immediately by written notice to the other party, if the other party:
materially breaches and (if such breach is remediable) fails to remedy within 30 days of notice;
fails to pay undisputed amounts within 15 days of payment notice; or
becomes insolvent, enters administration, has a receiver appointed or ceases trading.
10.4 On termination or expiry of this Agreement:
your access to the Subscription Service and Documentation ceases immediately;
you shall immediately pay all outstanding invoices and you remain liable for Fees for the remainder of the Subscription Term, which shall be payable immediately upon receipt of an invoice;
accrued rights and remedies survive termination; and
Clauses 7, 8, 10, 11, 12, 13, 14 and 15 survive.
11. INTELLECTUAL PROPERTY
11.1 We and our licensors own all intellectual property in the Subscription Service and Documentation. Without limiting the foregoing, we own all intellectual property in any modifications, improvements, customisations or other developments made to the Subscription Service, whether made during your subscription or otherwise.
11.2 If you (or your Users) provide feedback, suggestions, ideas, concepts or other intellectual property in connection with the Subscription Service or any customisation work, all intellectual property in such materials belongs to us. You assign to us (and will procure the assignment to us of) all intellectual property rights in any such materials, and you agree to do anything we reasonably request to confirm or perfect that assignment.
11.3 We may, at your request and in our discretion, undertake customisation/development work in respect of the Subscription Service. If we agree to undertake such work, the scope, deliverables and applicable Fees will be set out in the Quotation. Our core business is the provision of the Subscription Service, not bespoke software development. Accordingly, any developments we make to the Subscription Service will be incorporated into our platform and may be used for the benefit of any or all of our customers.
12. LIABILITY
12.1 Unless otherwise set out in this Agreement and subject to Clause 12.2:
we exclude all implied warranties, representations, conditions and other terms (whether implied by statute or common law) to the fullest extent permitted by law;
we provide the Subscription Service and Documentation on an "as is" basis. We do not promise that the Subscription Service will be uninterrupted, error-free, or meet your specific requirements; and
you acknowledge that the Subscription Service may enable you to access third-party websites and content, and you do so at your own risk.
12.2 Neither party limits liability for: death or personal injury from negligence; fraud; or matters that cannot be limited by law.
12.3 Subject to Clause 12.2, each party's (including its directors, officers, employees and agents) total aggregate liability to the other party (and, in the case of our liability, to you and your Users) in contract (including in respect of the indemnities at Clause 13), tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of this Agreement does not exceed the lower of:
150% of Fees paid or payable in the 12 months immediately before the event (or if the Subscription Term is less than 12 months, the Fees for the full Subscription Term); or
£250,000.
12.4 Neither party is liable for: loss of profits; loss of revenue; loss of savings; depletion of goodwill; loss of or corruption of data (except as provided in Clause 7.8); or any indirect or consequential loss, even if that party was advised of the possibility of such losses.
12.5 We are not liable for loss caused by Superuser actions including configuration errors, permission mistakes or accidental deletions.
12.6 We are not liable for any delay or failure in performing our obligations under this Agreement to the extent caused by your acts or omissions or those of your Users. Our entitlement to the Fees is not affected by any such delay.
13. INDEMNITIES
13.1 We will defend you (and your officers, directors and employees) against any claim that your use of the Subscription Service infringes a third party’s UK intellectual property rights, and shall indemnify you for any costs and/or expenses incurred in relation to and amounts awarded against the Customer in judgment or settlement of such claims provided you notify us promptly, provide reasonable co-operation at our expense, and give us sole control to defend or settle the claim.
13.2 In the defence or settlement of any claim, we may at our option: (a) procure your right to continue using the Subscription Service; (b) modify it to be non-infringing; or (c) terminate this Agreement on reasonable notice with pro-rata refund of prepaid Subscription Fees.
13.3 Clauses 13.1 and 13.2 set out your sole rights and remedies, and our entire liability, for any claim that the Service infringes third party intellectual property rights.
13.4 You indemnify us (and our officers, directors and employees) against claims that Customer Data and/or Account Data infringes a third party’s UK intellectual property rights, provided we notify you promptly, provide reasonable co-operation at your expense, and give you sole control to defend or settle the claim.
13.5 You indemnify us (and our officers, directors and employees) against third party claims arising from: Customer Data; Account Data; your breach of this Agreement; your violation of applicable laws in your use of the Subscription Service; your Users' and Superuser actions; and your use beyond the Subscription Scope, provided that in each case, we notify you promptly, provide reasonable co-operation at your expense, and you have sole control to defend or settle the claim.
13.6 We have no liability under Clause 13.1 for infringement arising from: modifications to the Subscription Service by anyone but us; your use of the Subscription Service contrary to Documentation or this Agreement; your use of the Subscription Service after we notify you of the infringement; the use of the Customer Data and/or Account Data; your breach of this Agreement; or the Subscription Service being combined with products not provided by us.
14. CONFIDENTIALITY
14.1 Each party agrees to keep the other's Confidential Information confidential and use it only for this Agreement's purposes. Each party may disclose Confidential Information to its employees, contractors and professional advisors who need to know it (Representatives). You may also disclose our Confidential Information to Users to the extent necessary for their use of the Service. Each party will ensure that its Representatives (and, in your case, Users) comply with confidentiality obligations substantially equivalent to those in this clause.
14.2 Confidentiality does not apply to information that: is public through no breach by the receiving party, was lawfully in the receiving party's possession before disclosure, is lawfully disclosed to the receiving party by a third party without confidentiality restrictions, is independently developed by the receiving party (as shown by written evidence), or must be disclosed by law, provided the receiving party gives the disclosing party prompt notice where legally permitted.
14.3 Confidentiality obligations survive for 5 years after termination.
14.4 On termination, each party will promptly return or destroy the other's Confidential Information on request, except where retention is required by law or for the exercise of ongoing rights under this Agreement.
15. GENERAL
15.1 Customer Data and Account Data stored in the Subscription Service is for your business purposes. We do not warrant its acceptance as evidence in legal proceedings.
15.2 We will maintain ISO 27001, ISO 9001 and Cyber Essentials Plus certifications throughout the Subscription Term. Current certificates are at the Trust Centre.
15.3 We will maintain appropriate insurance throughout the Subscription Term. Current coverage levels are at the Trust Centre.
15.4 Neither party is liable for delays caused by events beyond its reasonable control, provided the affected party notifies the other promptly. During any such delay:
affected obligations are suspended;
payment obligations continue unless the Service is unavailable for more than 15 consecutive days, in which case Fees are abated pro-rata for the period of unavailability;
if the delay exceeds 60 days, either party may terminate on 10 days' notice with pro-rata refund of prepaid Fees; and
any fees abated under (b) are not refundable if the Agreement is subsequently terminated under (c).
15.5 This Agreement constitutes the entire agreement and supersedes all prior agreements, representations and understandings. Purchase orders are accepted for administrative purposes only; any terms therein do not apply.
15.6 Except as otherwise set out in this Agreement, no amendment to this Agreement has effect unless it has been agreed, confirmed in writing and executed by both parties (or their authorised representatives). We may update the Acceptable Use Policy and Documentation, at any time, subject to providing you with reasonable notice.
15.7 You may not assign, transfer, charge, subcontract, declare a trust over or deal in any other manner with any or all of your rights and obligations under this Agreement without our prior written consent, which will not be unreasonably withheld. We may assign, transfer, charge, subcontract, declare a trust over or deal in any other manner with any or all of our rights under this Agreement to a group company or business purchaser.
15.8 This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.
15.9 Notices must be in writing and are deemed received when sent by email to the addresses in the Quotation (for you) or legal@gatherinsights.com (for us), or such other address as notified. Notices sent by email will be deemed to have been received at the time of transmission or, if this time falls outside Normal Business Hours, when Normal Business Hours resume.
15.10 If a dispute arises, a senior representative of each party will meet within 10 Business Days to attempt resolution before either party commences court proceedings. This does not prevent either party from seeking urgent injunctive relief or recovering undisputed debts at any time.
15.11 No person other than you and us can rely on and enforce any term of this Agreement.
15.12 If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it will be deemed deleted, but that will not affect the validity and enforceability of the rest of this Agreement.
15.13 A waiver of any right or remedy is only effective if given in writing and will not be deemed a waiver of any subsequent right or remedy. A failure or delay to exercise, or the single or partial exercise of, any right or remedy does not waive that or any other right or remedy, nor does it prevent or restrict any further exercise of that or any other right or remedy.
